1. Acceptance of Terms

By accessing, registering for, or using the Onrekor Medical Credentialing Software Platform (“Platform”), you (“User”) acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions (“Terms”). If you do not agree, you must not access or use the Platform.

2. Purpose of the Platform

The Platform is provided solely for facilitating the electronic submission, storage, organization, and transmission of credentialing-related information and documentation for healthcare professionals and associated personnel. Use of the Platform does not guarantee credentialing approval, verification results, institutional privileges, or acceptance by any healthcare organization or governing body.

3. User Responsibility for Uploaded Documents

3.1 Independent Recordkeeping Requirement

Each User expressly acknowledges and agrees that they are solely responsible for maintaining complete, accurate, and independent copies of every document uploaded to the Platform.

3.2 No Custodial Obligation

Onrekor is not a records custodian and shall not be considered the official or permanent repository of User documents. The Platform does not guarantee indefinite storage, retention, or recoverability of any uploaded materials.

3.3 Data Loss Disclaimer

The User understands and accepts that technical failures, interruptions, maintenance, connectivity issues, cyber incidents, or other unforeseen events may result in temporary or permanent loss of uploaded data. Onrekor shall not be liable for any loss, corruption, delay, or inability to retrieve uploaded materials.

4. Accuracy and Authenticity of Information

Users certify that all submitted information and documents are true, accurate, current, complete, and unaltered. Submission of false or misleading materials may result in account suspension, reporting to credentialing authorities, and possible legal action.

5. Authorized and Lawful Use

Users agree to use the Platform only for legitimate credentialing purposes. Prohibited conduct includes unauthorized access attempts, impersonation, misuse of credentials, system interference, reverse engineering, or unlawful activity.

6. Privacy and Data Security

Onrekor implements commercially reasonable safeguards to protect data; however, no electronic system is completely secure. Users acknowledge risks associated with electronic transmission and storage of information.

7. Intellectual Property

All software, databases, interface elements, trademarks, logos, and technology associated with the Platform are the exclusive property of Onrekor or its licensors. Users receive a limited, non-transferable license to use the Platform solely for its intended purpose.

8. Service Availability and Modifications

Onrekor reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. Continuous or error-free operation is not guaranteed.

9. Limitation of Liability

To the fullest extent permitted by law, Onrekor and its affiliates shall not be liable for any damages arising from use of or inability to use the Platform, including document loss, credentialing delays, or professional consequences.

10. Indemnification

Users agree to indemnify and hold harmless Onrekor and its affiliates from any claims or liabilities arising from violation of these Terms, misuse of the Platform, submission of inaccurate information, or infringement of third-party rights.

11. Termination of Access

Onrekor may suspend or terminate access if a User violates these Terms or uses the Platform inconsistently with its intended purpose.

12. Modifications to Terms

Onrekor reserves the right to update these Terms at any time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Commonwealth of Puerto Rico. Any dispute shall be brought exclusively in the state courts of Puerto Rico, and the User consents to jurisdiction and venue in those courts.

14. Dispute Resolution; Mandatory Mediation Prior to Litigation

14.1 Good Faith Resolution

The parties agree to attempt good faith negotiation for at least thirty (30) days before initiating proceedings.

14.2 Mandatory Mediation

Unresolved disputes shall be submitted to confidential, non-binding mediation in Puerto Rico before a mutually agreed mediator. Costs shall be shared equally.

14.3 Condition Precedent

Mediation is a mandatory condition precedent to filing litigation.

14.4 Injunctive Relief Exception

Onrekor may seek immediate injunctive relief in Puerto Rico courts for unauthorized access, data breaches, intellectual property violations, or misuse of the Platform.
